Increased M&As and Asset Transactions In Petrocheimcals Market In 2010
M&As, which include change in ownership and control of companies, (GlobalData does not consider this value as a new investment in the market), continued to increase in the number of deals and deal value in 2010. The petrochemical industry recorded an increase of 43% in the number of deals and 47% in deal value, with 50 deals worth $8.6 billion in 2010, as compared to 35 deals worth $5.8 billion in 2009.
Lumena’s agreement to acquire Sino Polymer for $1.5 billion; Honam Petrochemical’s acquisition of 73% stake in Titan Chemicals for $1.3 billion; and Siam Cement’s agreement to sell 15.6% stake in PTT Chemical for $1.1 billion were some of the high value deals registered in 2010 that led to substantial increase in deal value.
Asset transactions in the petrochemical industry registered substantial increase in deal value due to some of the significant deals in Q4 2010. Indorama Ventures’s agreement to acquire polyester resins and staple fibre plants from INVISTA for $420m in the fibre segment, and DAK Americas’s acquisition of polyethylene terephthalate (PET) and purified terephthalic acid (PTA) business from Eastman Chemical for $600m in the xylene derivatives segment were the most significant deals in 2010.
GlobalData expects M&As, including asset transactions, to flourish in the petrochemical industry with improving refining margins in the petrochemical sector, along with substantial expansion activities, particularly by Middle East companies, which are taking advantage of their supplier strength and availability of low cost feedstock. Increasing demand for petrochemical products’ usage and processing activities is set to drive the deal activity globally.
According to Mohit Sood, Analyst at GlobalData, 'The need to attain economies of scale and geographic expansion has lead to the consolidation of the global petrochemical industry. The companies are looking for expanding their product portfolios and are moving towards value added downstream petrochemicals. This has lead to the rise in M&A and asset transactions deals in the global petrochemical industries.”
Capital Raising Through Debt Offerings Decreased In 2010
Capital raising, through debt offerings, registered a decrease in deal activity in 2010. The industry registered 72 deals worth $49.3 billion in 2010, as compared to 101 deals worth $74.6 billion in 2009. Deal activity was affected substantially in the second quarter of 2010, when petrochemical companies could raise only $3.7 billion from the debt market, representing merely 7% of the total capital raised in 2010.
Capital raising by ethylene segment companies increased marginally to reach $25.9 billion in 2010. Capital raising was high in the ethylene segment, driven by the positive outlook for the petrochemical industry, along with the industry’s effort to increase the production capacity of ethylene and polyethylene. However, the number of deals decreased marginally from 44 deals in 2009 to 39 deals in 2010.
Furthermore, the fibre and propylene derivates segment companies registered an increase in the number of deals from two and 19 deals in 2009 to 11 and 30 deals in 2010. Moreover, in terms of deal value, only fibre and rubber segments registered an increase with $4.8 billion and $4.7 billion respectively in 2010, as compared to merely $250m and $342.7m respectively in 2009.
Sinopec’s offering of 2.5% convertible bonds due 2016 for $3.3 billion; LyondellBasell’s private placement of 8% senior notes due 2017 for $2.8 billion; SABIC’s announcement of private placement of $2.6 billion and BP’s two separate note offerings of $2 billion and $1.5 billion; and The Dow Chemical’s issuance of 4.25% senior unsecured notes due 2020 for $1.75 billion were some of the high value debt offering deals registered in 2010.
The raising of capital, through equity offerings, recorded a decrease in the number of deals and deal value, reporting 14 deals worth $3.7 billion in 2010, as compared to 17 deals worth $7.4 billion in 2009.
Investments In North America And Europe Decelerated In 2010
Geographically, North America and Europe registered a decrease in deal value in North America and Europe, from $32.4 billion and $33.1 billion in 2009 to $21.2 billion and $19 billion respectively in 2010. The decrease in the debt capital market affected the overall deal activity in these regions. Furthermore, the number of deals in North America decreased from 74 deals in 2009 to 64 deals in 2009, while deals in Europe increased from 49 deals in 2009 to 62 deals in 2010.
However, Asia-Pacific registered an increase in the number of deals and deal value from 71 deals worth $11.1 billion in 2009 to 81 deals worth $16.9 billion in 2010. The increase in the deal activity was due to increasing petrochemical processing capacities, particularly in the largest developing economies such as China and India, which was augmented by the availability of low cost feedstock from the Middle East.
The rest of the world, including the Middle East and Africa and South and Central America, registered a decrease in the deal value with $8 billion in 2010, as compared to $12 billion in 2009. However, the number of deals remained unchanged with 26 deals each in 2009 and 2010.
According to Mohit Sood, Analyst at GlobalData, 'The North American and Europe petrochemicals industry were hit hard by recession. The credit crunch resulted in reduced lending from the financial institution affecting the overall deal activity in the regions. Asia Pacific’s emergence as the global demand center for petrochemicals has resulted in a surge of deal activity in the region.”
